1. Scope of Work

Designer will build for Client a single landing-page website that includes:

• One landing page (responsive: mobile + desktop)
• Integration of Client-provided photos
• Custom features as specified during the first call
• Slide and scroll animations
• Basic on-page SEO setup
• Domain connection and initial hosting setup

NOT Included (separate agreement and additional fees required):

• Additional pages beyond the landing page
• AI avatars, chatbots, or conversational agents
• E-commerce or shopping-cart functionality
• CRM, payment processor, or booking system integrations
• Custom backend development or database work
• Email marketing setup or automation
• SEO services beyond basic on-page (no ranking or traffic guarantees)
• Social media setup or management
• Copywriting — Client provides all written content
• Logo or brand identity design
• Custom photography or video production
• Stock photos, premium plugins, or custom fonts (passed through at cost — Section 9)

2. Payment Terms

Total Build Fee: $500 (one-time, covers full website build)

Ongoing Service Retainer: $100/month OR $1,000/year (annual saves $200)

Build Payment Flow

• Revision 1 (Initial Draft): Designer creates the initial site structure and presents it to Client on the first call. Revision 1 remains Designer's property until the build fee is paid — Client does not receive files, login access, hosting credentials, or a public URL until payment clears.
• Build Fee Due: $500 + domain registration cost (if Client wants a new domain) is paid on the first call after Client reviews Revision 1.
• Content Delivery: Once the build fee clears, Client uploads photos and provides all written content for the Revision 2 build.
• Launch: Designer completes Revision 2 with Client content, Client signs off (Section 5), and the site goes live.

Retainer

The monthly or annual retainer begins on the launch date and covers:

• Site hosting
• One (1) revision per month (per Section 3)
• Ongoing maintenance, security updates, and uptime monitoring
• Email/message support for site-related questions

The retainer is required for Designer-hosted sites. If Client cancels the retainer, Designer delivers all site files to Client within 7 days, Client is responsible for arranging hosting elsewhere, and any further changes by Designer require a new agreement.

Cancellation of retainer requires 30 days written notice. No partial refunds for canceled months or years.

Accepted payment methods: Stripe (primary). Other methods at Designer's discretion.

3. Revision Policy

• First 30 Days: Three (3) revisions included at no additional cost.
• After Day 30: One (1) revision per month included at no charge.
• Additional Revisions: $60 for minor (copy edits, color tweaks, single-element changes); $150 for major (layout changes, new sections, animation rebuilds).

A "revision" = one consolidated round of feedback from Client, addressed and returned by Designer. Feedback must be sent in writing in one batch.

4. Project Timeline & Completion

• Designer delivers Revision 1 within 7 business days of the first call.
• Client has 14 days from balance payment to deliver all photos, written content, and feedback for Revision 2. If Client misses this window, the timeline extends day-for-day.
• Project is considered complete upon site launch. Designer provides 7 days of free bug fixes post-launch.

5. Approval & Sign-Off

Client provides written approval (email or message) at the end of:

• Structure Phase — after Revision 1, before content and design work begins
• Design Phase — before final launch

Once Client signs off on a phase, further changes to that phase count as additional revisions and are billed per Section 3.

6. Hosting & Domain

• Hosting: Designer hosts the site. Hosting is included in the monthly or annual retainer (Section 2).
• Domain: Domain is registered in Client's name. New domain registration cost is included in the deposit. If Client owns an existing domain, Client provides DNS access.
• Site Adjustments: Designer is the sole party who edits the live site. Client may not modify code, hosting settings, or backend configurations directly.

7. Ownership of Work

Upon receipt of full payment, Client owns the final website — the design, content, and code. Designer retains the right to display the completed site in Designer's portfolio and case studies unless Client requests otherwise in writing.

8. Cancellation & Refunds

• Before Build Fee Paid: Either party may cancel. No work-in-progress is transferred to Client.
• After Build Fee Paid, Before Launch: $500 build fee is non-refundable. Designer completes the project to launch or delivers work-to-date at Client's choice.
• After Launch: Project complete. No refunds on the build fee.
• Retainer Cancellation: Either party may cancel with 30 days written notice. Already-paid months/years are non-refundable.

9. Third-Party Costs

Any third-party services required for the project — premium plugins, stock photo licenses, custom fonts, domain registration, hosting upgrades — are passed through to Client at cost. Designer will notify Client before incurring any cost over $25.

10. Late Payment

Invoices are due within 7 days of issue. If payment is not received within 7 days:

• Work pauses immediately
• A 5% late fee accrues weekly on the unpaid balance
• If unpaid for 30 days, Designer reserves the right to take the site offline until balance is paid

11. Liability & Disclaimers

Designer is not liable for:

• Third-party platform outages (hosting providers, payment processors, plugins, domain registrars)
• Performance results (search rankings, traffic, conversions, revenue) — Designer makes no guarantees on business outcomes
• Loss of data caused by Client's actions or third-party tools
• Any losses exceeding the total project fee paid by Client

12. Governing Law

This agreement is governed by the laws of the State of Wyoming, where Jchrono International Inc. is incorporated.
